Terms and Conditions of Sale

These Terms and Conditions govern the sale of goods by Endo Foods Limited (“the Supplier”, “we”, “our”, “us”) to the purchaser (“the Buyer”, “you”, “your”).
By placing an order with Endo Foods Limited, the Buyer agrees to be bound by these Terms and Conditions.
Any terms proposed by the Buyer which are inconsistent with or in addition to these Terms shall not apply unless expressly agreed in writing by Endo Foods Limited.

1. Orders
1.1 All orders placed with Endo Foods Limited are subject to acceptance by us.

1.2 Orders must be submitted in writing, including by email or other approved electronic communication methods.

1.3 A contract between the parties shall only come into existence once the order has been accepted and confirmed by Endo Foods Limited in writing.

1.4 Once an order has been confirmed, it may not be cancelled or amended without the prior written consent of Endo Foods Limited.

1.5 The minimum order quantity within the United Kingdom is one (1) pallet, unless otherwise agreed in writing. Endo Foods Limited reserves the right to refuse orders below this quantity.

2. Prices
2.1 All prices quoted are exclusive of VAT, which shall be added at the applicable rate.

2.2 Prices are subject to change at any time prior to order confirmation.

2.3 Prices do not include delivery, pallet, storage, or handling charges unless expressly stated.

2.4 Any quotation issued by Endo Foods Limited shall remain valid for 14 days unless otherwise specified in writing.

3. Payment Terms
3.1 Unless otherwise agreed in writing, payment of all invoices shall be due within 21 days from the invoice date.

3.2 Payment shall be made by bank transfer to the bank account specified on the invoice.

3.3 If any invoice remains unpaid after the due date, Endo Foods Limited reserves the right to charge interest on the overdue amount at 5% per month or the maximum rate permitted under the Late Payment of Commercial Debts (Interest) Act 1998, whichever is lower.

3.4 Endo Foods Limited reserves the right to suspend or cancel deliveries where any account becomes overdue.

3.5 Where we reasonably believe the Buyer’s creditworthiness has deteriorated, we may require immediate payment or payment in advance before continuing to supply goods.

3.6 Buyers operating on a Cash on Delivery (COD) basis must make full payment at the time of delivery or collection.

3.7 Where credit terms have been granted, the Buyer’s first order must be paid in full on a proforma invoice prior to dispatch.

3.8 The Buyer shall not be entitled to withhold or set off payment for any reason unless agreed in writing by Endo Foods Limited.

4. Delivery
4.1 Deliveries may be made directly by Endo Foods Limited or through approved third-party pallet distribution or transport providers.

4.2 Delivery dates and times are estimates only and shall not be considered contractually binding.

4.3 Endo Foods Limited shall not be liable for delays caused by events outside our reasonable control, including delays caused by transport providers.

4.4 Risk in the goods passes to the Buyer upon delivery or collection.

4.5 The Buyer must ensure that appropriate personnel and facilities are available to receive and unload the goods at the delivery address.

4.6 Where delivery cannot be completed due to the Buyer’s failure to accept delivery, Endo Foods Limited reserves the right to charge additional delivery, storage, and re-delivery costs.

4.7 All goods must be inspected immediately upon delivery. Any shortages, damages, or incorrect goods must be recorded on the Proof of Delivery (POD) and notified to Endo Foods Limited in writing within three (3) working days.

4.8 If no claim is received within this period, the goods shall be deemed accepted.

5. Pallet Deliveries
5.1 Goods are supplied on UK standard pallets or Euro pallets.

5.2 The Buyer must ensure adequate access for pallet delivery vehicles and suitable equipment for unloading where required.

5.3 Where pallet returns are agreed, they must be returned within 7 days unless otherwise agreed.

5.4 Endo Foods Limited reserves the right to charge for pallets that are not returned or are returned damaged.

6. Returns and Claims
6.1 Due to the perishable nature of food products, returns will not be accepted unless authorised in advance by
Endo Foods Limited.

6.2 Claims for missing, damaged, or incorrect goods must be submitted in writing within three (3) working days of delivery.

6.3 Damaged goods must be clearly noted on the Proof of Delivery (POD) at the time of receipt.

6.4 All claims must include:
• Photographic or video evidence
• Batch or lot numbers
• Delivery documentation (delivery note or CMR)

6.5 Failure to provide sufficient evidence may result in the claim being rejected.

7. Product Quality and Food Safety
7.1 Endo Foods Limited supplies products in compliance with applicable UK food safety and hygiene regulations.

7.2 The Buyer is responsible for ensuring that all products are stored, handled, transported, and resold in
accordance with all applicable food safety laws and manufacturer guidelines.

7.3 Endo Foods Limited shall not be liable for deterioration or damage caused by improper storage, handling, or use after delivery.

8. Retention of Title
8.1 Ownership of the goods shall remain with Endo Foods Limited until full payment of all sums owed by the Buyer has been received.

8.2 Until ownership passes, the Buyer:
• must store the goods separately
• must clearly identify them as property of Endo Foods Limited
• must keep them properly insured

8.3 The Buyer may sell the goods in the ordinary course of business, but the proceeds of sale must be held on trust for Endo Foods Limited until payment is received in full.

8.4 If the Buyer fails to make payment when due, Endo Foods Limited shall have the right to enter the Buyer’s premises and recover the goods.

8.5 The Buyer must notify Endo Foods Limited immediately if any third-party claims rights over the goods.

9. Limitation of Liability
9.1 To the maximum extent permitted by law, Endo Foods Limited’s total liability arising out of or in connection
with the supply of goods shall not exceed the price paid for the goods giving rise to the claim.

9.2 Endo Foods Limited shall not be liable for any indirect, consequential, or economic losses, including loss of profit, loss of business, or loss of reputation.

9.3 Nothing in these Terms shall exclude or limit liability for:
• Death or personal injury caused by negligence
• Fraud or fraudulent misrepresentation
• Any liability which cannot be excluded under UK law.

10. Force Majeure
Endo Foods Limited shall not be liable for failure or delay in performing its obligations where such failure or delay results from events beyond its reasonable control, including but not limited to: natural disasters, strikes or labour disputes, transport disruption, supplier failure, energy shortages, government restrictions and supply chain interruptions.

11. Lien
Endo Foods Limited shall have a general lien over any goods or property of the Buyer in our possession for any outstanding debts owed by the Buyer.

12. Right of Set-Off
Endo Foods Limited reserves the right to set off any amount owed by the Buyer against any amount owed by Endo Foods Limited to the Buyer.

13. Personal Guarantee

13.1 Where the Buyer is a company, the individual signing the agreement confirms that they are authorised to do so on behalf of the company.

13.2 The directors or authorised signatories of the director’s personally guarantee the payment of all sums owed to Endo Foods Limited.

13.3 If the Buyer fails to meet its payment obligations, Endo Foods Limited reserves the right to seek recovery directly from the guarantor(s).

14. Entire Agreement
These Terms and Conditions constitute the entire agreement between the parties and supersede any previous agreements, representations, or understandings.

15. Severability
If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

16. Governing Law
These Terms and Conditions shall be governed by and construed in accordance with the laws of England and Wales.
Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.

17. Amendments
Endo Foods Limited reserves the right to amend these Terms and Conditions from time to time. Updated versions will apply to all future orders once published or provided to the Buyer.
